New RCS Filing Requirement – Registration of the Luxembourg National Identification

Dear Clients,

We would like to inform you that as of 12 November 2024, a new filing requirement will be implemented by the Luxembourg Trade and Companies Register (RCS): the registration of the Luxembourg National Identification Number (Matricule) for all registered natural persons.

Who does this apply to?

This requirement applies to all natural persons registered with the RCS, regardless of their capacity, such as manager, director, shareholders, etc. Exceptions apply for (i) judicial representatives appointed within the framework of a procedure registered with the RCS, and (ii) agents of companies governed by foreign law that have opened a branch in the Grand Duchy of Luxembourg.

What does this mean for you?

  • You must provide the Luxembourg National Identification Number for each natural person registered within your entity. If you do not have such an identification number, a request for one must be made;
  • This information must be communicated during any new filing or update of your information with the RCS from 12 November 2024. A transitional period, the duration of which has not yet been specified, will be granted to natural persons already registered with the RCS before 12 November 2024.
