A domiciliation is defined by the law of 31st May 1999 governing the domiciliation of companies as being a service where a company establishes its registered office with a third party, called the ‘domiciliation agent’.
Only a member of certain regulated professions can be a domiciliation agent. Chartered accountants are regulated professions authorised to act as domiciliation agents for companies.
A company that does not need its own premises to carry out its business, under certain conditions, can consider domiciliation with a third party and establish its registered office with a domiciliation agent.
Which company can be domiciled?
Domiciliation is an appropriate solution for companies whose activity does not require them to have their own premises. This is not the case, for example, for a company operating a business with a business license, which is required by law to have premises suitable for carrying on its business.
What is a certificate of domiciliation?
A domiciliation agreement is a contract between the domiciliation agent and the company that wishes to establish its registered office with the domiciliation agent.
The agreement mentions notably that the registered office of the client-company will be established at the address of the domiciliation agent.
